End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Heimdall Agro ("Company") for the Heimdall software product, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT").

1. Grant of License

The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the SOFTWARE PRODUCT strictly in accordance with the terms of this EULA. The license is perpetual for the base software, subject to the maintenance tier selected at the time of purchase.

2. Data Collection and Privacy

The SOFTWARE PRODUCT operates using edge computing for local data processing to ensure maximum privacy. However, if you are enrolled in the "Contributor Maintenance" tier, you explicitly agree to securely anonymize and transmit field data back to the Company for the sole purpose of training community AI models.

3. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the SOFTWARE PRODUCT.
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the SOFTWARE PRODUCT.
• Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of the Company or its affiliates, partners, suppliers or the licensors of the SOFTWARE PRODUCT.

4. Intellectual Property

The SOFTWARE PRODUCT, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of the Company.

5. Disclaimer of Warranties

The SOFTWARE PRODUCT is provided "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. The Company provides no guarantee that the software will accurately identify every crop issue, and it should be used as a supplementary tool to professional agronomic advice.
